The Board of Directors of First Savings Financial Group and First Savings Bank are each comprised of ten persons who are elected for terms of three (3) years, approximately one-third of whom are elected annually.
All of our directors are independent under the current listing standards of the NASDAQ Stock Market, except for Larry W. Myers, who serves as President and Chief Executive Officer of First Savings Financial Group and First Savings Bank, John P. Lawson, Jr., who serves as the Chief Operations Officer of First Savings Financial Group and First Savings Bank, and Samuel E. Eckart, who serves as Area President of First Savings Bank. In determining the independence of directors, the board of directors considered the various deposit, loan and other relationships that each director has with First Savings Bank, including loans and lines of credit to Charles E. Becht, Jr., Gerald Wayne Clapp, Jr., John P. Lawson, Jr., Pamela Bennett-Martin, and Christopher Fordyce, in addition to the transactions disclosed under “- Transactions with First Savings Bank,” but determined in each case that these relationships did not interfere with their exercise of independent judgment in carrying out their responsibilities as a director.
Information regarding the directors is provided below. Unless otherwise stated, each person has held his or her current occupation for the last five (5) years. Ages presented are as of March 31, 2010. The starting year of service as director relates to service on the board of directors of First Savings Bank.
The following directors have terms ending in 2011:
Michael F. Ludden serves as Chairman of the Board and is President and Chief Executive Officer of L. Thorn Company, Inc., a construction materials distribution company. Age 60. Director since 1992. Larry W. Myers is President and Chief Executive Officer of First Savings Bank and First Savings Financial Group. Mr. Myers joined First Savings Bank in 2005. Previously, Mr. Myers served as Chief Operating Officer of First Savings Bank. Age 53. Director since 2005. Pamela Bennett-Martin is President of Bennett & Bennett Insurance Agency. Age 52, Director since appointment in 2009.
The following directors have terms ending in 2012:
Charles E. Becht, Jr. is owner and President of Ward Forging Co., Inc., a steel fabrication company. Age 60. Director since 1995. Gerald Wayne Clapp, Jr. is President of CLAPP Auto Group, an auto sales and service company. Age 60. Director since 1995.
The following directors have terms ending in 2013:
John P. Lawson, Jr. is the Chief Operating Officer of First Savings Bank and First Savings Financial Group. Mr. Lawson joined First Savings Bank in 1988. Previously, Mr. Lawson served as Assistant Vice President, Vice President, Senior Vice President and Executive Vice President of First Savings Bank. Age 53. Director since 2006. Cecile A. Blau serves as a county judge in the State of Indiana. Ms. Blau's current term as judge expired in December 2008. Age 65. Director since 2008. John Colin is a an attorney and partner in the Corydon law firm of Simpson, Thompson and Colin, LLC. Age 41. Director since 2011. Douglas A. York is President of Rodefer Moss & Co., PLLC, an accounting firm. Age 48. Director since 2008. Samuel E. Eckart is Area President of First Savings Bank. Mr. Eckart joined First Savings Bank in 2009. Previously, Mr. Eckart served as President and CEO of Community First Bank. Age 59, Director since appointment in 2009. Christopher Fordyce is a farmer in Washington County, Indiana. Age 54, Director since appointment in 2009.
